Terms of Service

This Terms of Service Agreement (“Agreement” or “Terms”) is a legally binding contract between you (“Client,” “you,” “your”) and Evolve Media House (“EvolveMediaHouse,” “we,” “us,” “our”), a sole proprietorship registered in India and operated by NEETU ARORA, with its principal place of business at Janak Ganj Road, Patshala Wali Gali, Gwalior, Madhya Pradesh, 474001, India. By accessing evolvemediahouse.com or direct purchasing any services from us, you agree to these Terms in full.

1. About Us

Evolve Media House is a digital marketing agency operating from India and serving clients globally, including in India and the United States. Our services include social media management, content creation, paid advertising management, search engine optimization (SEO), and related digital marketing services.

2. Acceptance of Terms

The “Effective Date” of this Agreement is the date on which you submit your order for Services. By submitting your order or making payment, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Return, Refund & Cancellation Policy. If you are accepting these Terms on behalf of an entity, you represent that you have the authority to bind that entity. We reserve the right to decline service at our sole discretion.

3. Services

3.1 Evolve Media House will provide the Services specified in your selected plan or as described on evolvemediahouse.com. Specific deliverables, scope, and frequency are defined at the point of sign-up.

3.2 We may modify our service offerings, packages, pricing, and inclusions at our discretion. Active Clients on a discontinued plan may be grandfathered at our sole discretion.

4. Fees, Billing & Payment

4.1 Pricing & Currency. Service fees are quoted at the point of sign-up. Indian Clients are billed in Indian Rupees (INR). International Clients (including United States Clients) are billed in United States Dollars (USD) or another agreed currency. Applicable taxes are charged as per Indian law. Export of services to clients outside India is GST-exempt under a Letter of Undertaking (LUT) as per applicable Indian regulations.

4.2 Payment in Advance. All fees are payable in advance of service delivery. Initial fees must be paid before onboarding begins.

4.3 Recurring Billing. For recurring monthly retainers, you authorize Evolve Media House and our payment processor to automatically charge your registered card or payment method on each billing cycle, until cancelled per Section 5.

4.4 Payment Method on File. You agree to maintain a valid payment method at all times. If a payment fails, we may suspend Services until payment is received. Suspension due to non-payment does not entitle you to fee proration.

4.5 Past-Due Accounts. If you have not formally cancelled and we continue work on a past-due account, accrued back-payments will be due in full, without interest.

5. Cancellation

5.1 You may cancel any recurring monthly retainer at any time by:

  • Emailing vishesh.arora@evolvemediahouse.com with subject line “Cancellation Request,” or
  • Calling +91-8602749588 during business hours (Monday–Friday, 10:00 AM – 6:00 PM IST).

5.2 Cancellation takes effect at the end of the current billing cycle. You will retain access to Services already paid for through the end of that cycle. No further billing cycles will be charged.

5.3 Cancellation does not entitle the Client to a refund of fees already paid for the current or prior billing cycles, except as expressly provided in Section 6.

6. Refunds

6.1 7-Day Money-Back Guarantee. First-time Clients are eligible for a full refund within seven (7) days of their initial payment, provided no significant deliverables have been produced, shared, or used. The Client agrees not to use any content created by Evolve Media House if a refund is issued under this clause.

6.2 No Refunds After 7 Days. Beyond the 7-day window, no refunds will be issued under any circumstances, including but not limited to: change of mind, dissatisfaction with results, Client-side platform issues, missed posts due to disconnects or password changes, or partial-month usage. Cancellation will prevent future billing cycles but does not entitle the Client to a refund of fees already paid.

6.3 Full refund process and timelines are governed by our Return, Refund & Cancellation Policy, which forms an integral part of these Terms.

7. Onboarding

7.1 Services begin on the day of sign-up, when onboarding is initiated. All setup is included in the retainer fee; no separate setup fee is charged unless explicitly agreed.

7.2 If onboarding is delayed beyond seven (7) business days due to fault attributable to us, the billing date will be adjusted to provide a full month of service from completion of onboarding.

8. Client Responsibilities

8.1 Access & Credentials. The Client is responsible for providing timely access to platforms, accounts, and credentials. Password or permission changes must be communicated to us promptly.

8.2 Review. Clients agree to review work and accounts at least biweekly and to flag issues promptly. Edit requests on content older than two (2) weeks may be declined.

8.3 Content & Approval. Where the plan includes content approval, the Client is responsible for timely approval. If no feedback is received within four (4) weeks for any deliverable, it is deemed approved.

8.4 Revisions. Standard content allows one round of revisions per week of planned content. Blog posts allow up to two (2) revisions per draft, after which content is considered final.

8.5 Compliance. The Client warrants that all materials and instructions provided are lawful and do not infringe third-party rights.

9. Third-Party Platforms

9.1 Many Services are delivered through third-party platforms (Facebook, Instagram, X/Twitter, LinkedIn, Pinterest, Google, YouTube, etc.). We do not control these platforms and cannot guarantee uptime, results, account status, or platform-level decisions.

9.2 Account disconnections, suspensions, password changes, security lockouts, or platform ToS issues are the Client’s responsibility. Missed posts resulting from such events are not eligible for refunds. Where feasible, we will reschedule missed posts upon reconnection.

9.3 Algorithm changes, platform policy changes, ad disapprovals, and similar decisions are outside our control. Our fees are for time and effort rendered, not guaranteed outcomes.

10. Intellectual Property

10.1 Client Materials. The Client retains all rights to materials, brand assets, and content provided to us.

10.2 Deliverables. Upon full payment, the Client receives a non-exclusive, worldwide license to use deliverables produced by us for the Client’s business.

10.3 Our Methods. We retain all rights to our proprietary methodologies, processes, tools, templates, and frameworks.

10.4 Stock Media. Where royalty-free or licensed stock media is used, the corresponding license terms apply.

11. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement and to use such information solely for fulfilling this Agreement.

12. Warranties & Disclaimers

12.1 Services are provided on an “as-is” and “as-available” basis. We do not warrant specific results, rankings, engagement, conversions, or revenue outcomes.

12.2 To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, course of dealing, and trade practice.

12.3 Fees are based on time and work performed, not on results.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVOLVE MEDIA HOUSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE PREVIOUS ONE (1) MONTH OF SERVICES. THIS LIMIT IS CUMULATIVE; MULTIPLE CLAIMS DO NOT INCREASE IT. THE CLIENT ACKNOWLEDGES THESE LIMITATIONS ARE AN ESSENTIAL ELEMENT OF THIS AGREEMENT.

14. Indemnification

14.1 General. The Client agrees to indemnify and hold harmless Evolve Media House, its proprietor, employees, contractors, and agents from any losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) the Client’s breach of these Terms; (b) misuse of the Services; or (c) violation of third-party rights or applicable law.

14.2 Social Media Accounts. The Client indemnifies us against losses related to social media account suspensions, deletions, copyright disputes, lost access, or other third-party platform actions — including those resulting from bot or plugin use, ToS violations, verification issues, or incorrect account configuration.

14.3 Content Ownership. We use only Client-provided materials or licensed stock media. The Client is responsible for ensuring all materials provided are lawful and rights-cleared, and indemnifies us against any related copyright, trademark, or content claims.

15. Credit Card Disputes & Chargebacks

15.1 Clients agree to attempt good-faith resolution through our support channels (email or phone) before initiating any chargeback or payment dispute.

15.2 If a chargeback is initiated, all credits, refunds, and active service work will be paused until the dispute is resolved. Dispute resolution may take one to three (1–3) months, depending on the issuing bank and card network.

15.3 Initiating a chargeback for Services rendered and accepted may result in immediate termination of Services and referral of any outstanding amounts to collections.

16. Force Majeure

Neither party shall be liable for delays or failures resulting from events beyond reasonable control, including natural disasters, war, civil unrest, government action, internet/telecom outages, third-party platform outages, or pandemics.

17. Termination by Evolve Media House

17.1 We may terminate or suspend your account immediately, without prior notice, if you breach these Terms, fail to pay due fees, or engage in conduct that, in our judgment, is unlawful, abusive, or harmful to our business.

17.2 In the event of material breach by Evolve Media House, the Client may terminate this Agreement with written notice. Refunds, if any, are governed by the Return, Refund & Cancellation Policy.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Disputes arising from or related to these Terms are subject to the exclusive jurisdiction of the courts at GWALIOR,MADHYA PRADESH,INDIA.

19. Dispute Resolution

19.1 Parties shall first attempt to resolve any dispute through good-faith negotiation for thirty (30) days.

19.2 If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat and venue of arbitration shall be GWALIOR,INDIA conducted in English.

20. Amendments

We may amend these Terms at our discretion. The latest version will be published at evolvemediahouse.com with an updated “Last Updated” date. Material changes will be communicated to active Clients via email.

21. Entire Agreement

These Terms, together with the Privacy Policy and Return, Refund & Cancellation Policy, constitute the entire agreement between the parties and supersede all prior agreements, written or oral, on the same subject matter.

22. Severability

If any provision of these Terms is found unenforceable, that provision will be severed to the minimum extent necessary, and the remaining provisions will continue in full effect.

23. Assignment

The Client may not assign these Terms without our prior written consent. We may assign these Terms in connection with a sale, merger, or transfer of our business.
